InvoiceApp End-User License Agreement and Terms of Use

Terms governing authorized access to and use of InvoiceApp.

Effective September 15, 2026

This End-User License Agreement and Terms of Use ("Agreement") is between Pinnstone, LLC d/b/a Highmark Systems ("Highmark," "we," "us," or "our") and the person or organization authorized to use InvoiceApp ("User" or "you").

InvoiceApp is an internal integration that connects Highmark's Relay operations platform with an authorized QuickBooks Online company to prepare and reconcile accounting records, including draft invoices. By authorizing, accessing, or using InvoiceApp, you agree to this Agreement. If you are acting for an organization, you represent that you are authorized to bind that organization.

1. Eligibility and Authorized Use

InvoiceApp may be used only by Highmark personnel and other users expressly authorized by Highmark and the applicable QuickBooks Online company administrator. You must use InvoiceApp only for legitimate business-accounting purposes and in accordance with this Agreement, Intuit's applicable terms, and applicable law.

2. Limited License

Subject to this Agreement, Highmark grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use InvoiceApp for authorized internal business purposes. InvoiceApp is licensed, not sold. Highmark and its licensors retain all rights not expressly granted.

3. QuickBooks Authorization

InvoiceApp accesses QuickBooks Online through Intuit's OAuth authorization process. You are responsible for selecting the correct QuickBooks company and granting only permissions you are authorized to grant.

InvoiceApp does not require or request your Intuit password. You must not provide your Intuit password, OAuth token, app client secret, or other authentication secret through InvoiceApp support messages, email, chat, invoice text, or other ordinary communication channels.

You may disconnect InvoiceApp through available application or Intuit controls. Disconnection does not reverse accounting records or invoices already created in QuickBooks.

4. Invoice Review and Approval

InvoiceApp is designed to prepare and reconcile draft invoices. You remain responsible for reviewing every invoice before it is issued, confirming the customer, service period, hours, rates, taxes, payment terms, descriptions, attachments, and total, and obtaining any required contractual approvals.

Unless Highmark expressly enables and documents a different workflow, InvoiceApp will not be treated as authorization to email, issue, void, delete, or collect an invoice without a separate authorized action. InvoiceApp does not provide accounting, tax, legal, or financial advice.

5. User Responsibilities

You agree to:

  • maintain accurate QuickBooks, Relay, customer, service-item, and accounting-reference data;
  • verify that time records and other source data are complete, approved, and contractually billable;
  • protect your account, device, and authentication methods from unauthorized access;
  • promptly report suspected unauthorized use, incorrect synchronization, duplicate transactions, or security incidents; and
  • comply with applicable accounting, tax, privacy, security, and record-retention requirements.

InvoiceApp is not designed for protected health information, payment-card data, banking credentials, or consumer credit information. You must not place such information in invoice descriptions or other content transferred through InvoiceApp.

6. Prohibited Conduct

You may not:

  • use InvoiceApp without authorization or for unlawful, fraudulent, deceptive, or abusive activity;
  • attempt to bypass access controls, probe for vulnerabilities, interfere with service operation, or gain access to another company or user's information;
  • copy, reverse engineer, modify, distribute, sell, lease, sublicense, or commercially exploit InvoiceApp except as permitted by law and expressly authorized in writing;
  • introduce malicious code or use automated access outside documented interfaces; or
  • use QuickBooks or Relay data for advertising, data brokerage, unrelated profiling, or artificial-intelligence model training.

7. Data and Privacy

As between you and Highmark, you retain your rights in data you are authorized to provide to InvoiceApp. You grant Highmark permission to process that data only as needed to operate, secure, support, and improve the authorized InvoiceApp workflow and to meet legal obligations.

InvoiceApp's collection and handling of information is described in the InvoiceApp Privacy Policy. Intuit and other third-party services process information under their own terms and privacy policies.

8. Third-Party Services

InvoiceApp depends on services provided by Intuit, QuickBooks Online, hosting and database providers, and network or identity providers. Highmark does not control those third-party services and is not responsible for their independent acts, outages, changes, or discontinuation. Your use of third-party services remains subject to their applicable agreements.

9. Availability, Changes, and Support

Highmark may maintain, update, modify, suspend, or discontinue InvoiceApp when reasonably necessary for security, compliance, maintenance, third-party changes, or business needs. Highmark will use reasonable efforts to communicate material service issues to authorized users.

Support requests may be sent to info@highmarksys.com.

10. Intellectual Property

InvoiceApp, including its software, workflow, documentation, design, and related intellectual property, is owned by Highmark or its licensors. QuickBooks, Intuit, and related marks and services are owned by Intuit or its licensors. This Agreement does not grant a license to use any party's trademarks except as necessary to identify the authorized integration.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOICEAPP IS PROVIDED "AS IS" AND "AS AVAILABLE." HIGHMARK DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Highmark does not warrant that source data is accurate, that third-party services will remain available, or that every accounting or contractual requirement will be detected automatically. You must independently review accounting transactions before relying on or issuing them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHMARK AND ITS OWNERS, AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS OR REVENUE; LOSS OR CORRUPTION OF DATA; OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO INVOICEAPP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHMARK'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO INVOICEAPP WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID SPECIFICALLY FOR INVOICEAPP DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow particular disclaimers or limitations. In those jurisdictions, the provisions apply only to the maximum extent permitted by law.

13. Suspension and Termination

Highmark may suspend or terminate access for an actual or suspected security risk, unauthorized use, violation of this Agreement, legal requirement, third-party platform restriction, or discontinuation of InvoiceApp. Upon termination, your license ends and you must stop using InvoiceApp. Provisions that by their nature should survive—including intellectual-property, disclaimer, liability, governing-law, and accrued-rights provisions—will survive.

14. Governing Law and Venue

This Agreement is governed by the laws of the State of Mississippi, without regard to conflict-of-law principles. Subject to applicable law, exclusive venue for disputes arising from this Agreement will be in the state or federal courts serving Madison County, Mississippi, and each party consents to their jurisdiction.

15. Changes to This Agreement

Highmark may update this Agreement when InvoiceApp's functionality, providers, or legal obligations change. The revised Agreement will identify a new effective date. Material changes will be communicated to authorized users through an appropriate business or application channel. Continued use after the effective date of an update constitutes acceptance where permitted by law.

16. General Terms

This Agreement and the InvoiceApp Privacy Policy constitute the agreement concerning authorized use of InvoiceApp unless a separate written agreement signed by Highmark expressly controls. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign this Agreement without Highmark's written consent. Highmark may assign it in connection with a merger, reorganization, financing, sale of assets, or transfer of InvoiceApp.
